Soluzione IT Services Pvt. Ltd. – Terms of Service

These terms of Service (“Terms”) govern the access to and use of  solutions / website / product / Dynamics 365 App / platforms / software / applications / other services (the “Services”) offered by Soluzione IT Services Pvt. Ltd., a company incorporated under the laws of India, having its registered office at  IT Park, B-52, Badwai, Bhopal, Madhya Pradesh 462036 (“Soluzione”, “we”, “our”, “us”).

Eligibility

To use the Services, you represent and warrant that you are more than eighteen (18) years of age, have legal capacity and authority to enter into binding contracts, and in case of your use of services on behalf of an entity, you are duly authorized to bind such entity to these Terms.

Accepting these Terms:

By accessing, registering for, clicking “I agree”, or otherwise using the Services, you (“Customer”, “you”, “user” or “Buyer”) acknowledge that you have read, understood, and agree to be bound by all these Terms. So, before you use the Services, we urge you to carefully read all the terms. If you don’t agree to be bound by all of the terms below, please do not use the Services. In case you are unable to understand any of the terms as mentioned, you can  let us know by emailing at [email protected].

Changes to these Terms:

We reserve the right, at our sole discretion, to change, modify or otherwise alter these Terms at any time.

Whenever we make changes to these Terms, the changes are effective immediately upon the posting thereof (date of revision) or upon your acceptance (if we provide a mechanism for your immediate acceptance of the revised Terms such as a change notifications via email or click-through confirmation or acceptance button) remain effective till new terms are published. The users agree to be bound by such changes, modifications or alterations.

You must review these Terms on a regular basis to keep yourself apprised of any changes. We strongly encourage you to check the “Last Updated” date at the top of these Terms to familiarize yourself with the most up-to-date version of the Terms. If you continue to use the Service after the revised Terms go into effect, then you have signified and confirmed your assent to the changes to these Terms. We are not obligated to apprise you of any changes and you are solely responsible for periodically checking the Services for changes.

Free Trial Conditions:

We provide limited use of Services without any Customer fee/payment charges to new Customers (“Free Trial”) upon their unconditional and absolute acceptance of the Terms for Free Trial as contained herein. Only new customers are eligible to participate in the Free Trial.

Free Trial Services are limited in duration and functionality as displayed at the time of registration.

Services under Free Trial commences immediately upon registration by the customer with us and automatically terminates upon conclusion of such Free Trial unless upgraded to a paid subscription. Upon termination of Free Trial, the Customer will no longer have access to the Services, and the Free Trial Terms will no longer apply.

Limitations during Free Trial:

The limited use of Services by new Customers under the Free Trial shall be restricted to the period as shown during the registration for new Customers. A Customer shall have no right to seek use of Service or extension thereof for Free Trial without upgrading to a Paid Account as described below. Service level agreements between Soluzione and Customers do not apply during the Free Trial.

Subscription, Pricing and Billing:

At any time during the Free Trial, the Customer may convert its Free Trial account into a paid subscription. Free Trial Terms will no longer apply when the Customer continues the use of the Services after upgrading to the standard subscription.

Your paid subscription for the Services will start when Soluzione confirms your payment and will continue till it fulfills the subscription period obligation. Your paid subscription shall be exclusive of all applicable taxes (if any) or payment surcharges (if any such as credit card/ bank transaction charge etc.).  After your payment is successfully processed, you may receive an email for payment confirmation. If you do not receive an email after this course, you may contact us at [email protected].

We reserve the right to change pricing with a 30-day prior notice to you. The changed pricing will become applicable to you from commencement of your next subscription renewal. We reserve the right to not honour typographical errors that may cause incorrect pricing on the website. We might capture additional details for billing or accounting purposes. We will never sell or share your details with third parties. We will use all the data we collect for internal purposes only.

Buyers must subscribe to the Services periodically. Renewal of a subscription will be automatic until the Buyer communicates in writing the desire to terminate the subscription. The charge is paid at the beginning of the term period. If the payment transaction fails, the service will expire or terminate. Any complaints regarding (parts of) the Services or the invoice do not suspend your payment obligation.

License and Use Restrictions:

Subject to payment of applicable fees and compliance with these Terms, Soluzione grants the Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services during the subscription term.

The Customer shall not:

1. Copy, modify, distribute, sublicense, sell, lease, or resell the Services;
2. Reverse engineer, decompile, or attempt to derive source code;
3. Share access credentials or allow unauthorized access;
4. Use the Services to build a competing product or service;
5. Use the Services in violation of applicable laws.
6. attempt to gain unauthorized access to the Services or any account, application, platform, computer system or network associated with Soluzione.
7. not use the Services in any way that violates these Terms, or any applicable law or regulation.

Any violation of above may result in immediate termination.

Privacy Policy and Data Protection:

Customer acknowledges that Soluzione may collect and process information in accordance with its Privacy Policy available at www.solzit.com/privacy-policy. Customer remains responsible for the legality and accuracy of all data provided

Use of Cookies:

Whether you’re using Soluzione Services that are free or paid, we work hard to maintain the privacy of the data you trust us with. Our website, like most, uses cookies. Before using our site, please carefully read this cookie policy. The Cookie Policy, Privacy Policy, and Terms of Use should all be read together.

Ownership:

The Services are the property of Soluzione, if any, and subject to applicable patents, copyrights, trade secrets, trademarks, and other proprietary rights. The Services are licensed, not sold to the Buyer for use only under the terms of this agreement, and Soluzione reserves all rights not expressly granted to the Buyer. Buyer agrees not to take any action or interfere with Soluzione’s ownership of or rights in the Services.

Emails:

Soluzione may, on occasion, send you email notifications related to your subscription. These transactional emails may include notification of your registration with Soluzione, your payment status email notifications, etc. Occasionally, you may receive new offerings from Soluzione.

Refund Clause:

If you have purchased our service, then there will be no refund given for that particular month/subscription period (as applicable). But if you want to cancel the subscription, then mail us at [email protected] and we will discontinue your subscription and we will not charge you for the next subscription cycle.

Intellectual Property:

We invest substantial effort into creating the Services, including the logo and all designs, trademarks, service marks, patents, copyrights, text, graphics, pictures, information, and any other intellectual property rights (excluding your content). All such materials including rights, interest and title in such materials are owned by us or our licensors and are protected by Indian and international copyright and other intellectual property laws. Subject to your compliance with these Terms, we grant you the right and license to use the Services. Except as provided in the immediately preceding sentence, no other right, title or interest in the Services is hereby granted or transferred to you as a result of any permitted use of the Services.

You agree to provide Soluzione with a limited, royalty-free, fully paid-up, non-exclusive, transferable, worldwide, perpetual license and right to use, distribute and display any and all content provided by you via Services for the sole purpose of enabling Soluzione to provide and improve the Services. This shall include any feedback you share with us, which Soluzione may feely use, copy, make, sell, reproduce, modify and/or incorporate in the Services in any manner without consent, obligation or compensation to you.

However, unless we expressly state otherwise, your rights do not include: 

1. publicly performing or publicly displaying the service;
2. modifying or otherwise making any derivative use of the Service or any portion thereof;
3. using any data mining, robots, or similar data gathering or extraction methods;
4. downloading (other than page caching) of any portion of the Service or any information contained therein;
5. using the Service other than for its intended purposes.

If you fail to comply with the aforementioned terms and/or contravene with other terms of the agreement, Soluzione shall terminate your use of the Service from immediate effect upon being notified of such failure or contravention or upon such discovery.

Third-Party Services:

The Services may contain links to, or may otherwise allow you to access, third-party websites or services that we do not own or control. Your use of the Service may also include the use of applications that are developed or owned by a third party. Your use of any such third-party resources is governed solely by the terms of service and privacy policies of the relevant third party, and Soluzione hold no responsibility for any third-party content, products or services. We encourage you to read the terms and conditions and privacy policies of any third-party application, website, or service that you visit or use.

Termination:

This agreement will terminate immediately if the Buyer breaches any term of this agreement. Further, in the event of a termination or expiration of any agreement between Soluzione and the Buyer, the Buyer’s right to access and use the solutions may also terminate or expire without prior notice to the Buyer. A Buyer may terminate this agreement at any time by notifying Soluzione in writing before the next billing cycle (payment processing). Soluzione reserves the right, at any time, to discontinue, temporarily or permanently, with notice and no refund will be granted. Upon termination, all licenses granted to Customer shall cease immediately.

Disclaimer:

Except as expressly provided herein, the Service(s) are provided “as is” and “as available”, and Soluzione makes no representations or warranties. Soluzione expressly disclaims any and all warranties, express or implied, of any kind, for the Service(s) and any other material provided to the Buyer by Soluzione, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, non-infringement of third party rights or title or rightful claim, security, freedom from viruses, warranties as to the reliability or availability of the Services. Soluzione does not warrant that the Service(s) is error-free, that their operation will be uninterrupted, or that the Service(s) will meet any particular Buyer requirements. Without limiting the generality of the foregoing, Soluzione makes no warranty and does not assure that the Service(s) will meet the certification requirements of any regulatory authority or other association licensing agency, within or outside of India.

In no event will Soluzione IT Services Pvt. Ltd. be liable to you or any third party for any special, indirect, incidental, exemplary, punitive or consequential damages of any kind or damages for lost revenues or profits, loss of data or loss of goodwill, service interruption, computer damage or system failure, or for any damages for personal or bodily injury or emotional distress  arising out of or in connection with the Service or any other service and/or content included on or otherwise made available to you through the Service, regardless of the form of action, whether in contract, tort, strict liability or otherwise, even if we have been advised of the possibility of such damages or are aware of the possibility of such damages. Our total liability for all causes of action and under all theories of liability will be limited to the subscription fee paid by you to Soluzione IT Services Pvt. Ltd for the current or last payment cycle, as the case may be. This section will be given full effect even if any remedy specified in this agreement is deemed to have failed of its essential purpose.

Indemnity:

You agree to defend, indemnify, and hold  harmless Soluzione and its officers, directors, employees, contractors, agents, consultants, and representatives from and against any and all costs, claims, actions, lawsuits, damages, obligations, liabilities, cost or debt, and expenses (including attorneys’ fees, costs, penalties, interest, and disbursements) we incur to, arising from or in connection with (a) your use of the Service or the use of the Service by any person using your account; (b) your violation, breach or default of any term of these Terms or any applicable law/regulations; (c) your violation of any third party right including, but not limited to, any patent, trademark, service mark, copyright, trade secret, property or privacy right; (d) your misrepresentation, negligence or wilful misconduct (e) any other claim or demand from a third party relating to your use of the Service or the use of the Service by any person using your account.

General Information:

(a) Nothing in these Terms shall be deemed to confer any third party rights or benefits;

(b) Regardless of any statute or law or regulation to the contrary, any claim or cause of action, arising out of or related to or in connection with the use of the Services or these Terms, must be filed within three (3) months from the date the cause of action first arose or be forever deemed barred;

(c) These Terms and any rights and licenses granted hereunder, may not be transferred or assigned by you, except that Soluzione can assign any of its rights and licenses granted hereunder without your consent. Any transfer or assignment in violation of this provision will be considered void;

(d) If any provision under these Terms is declared by any court of competent jurisdiction to be illegal, void or unenforceable, all other provisions under these Terms shall remain unaffected and shall remain in full force and effect to the extent allowed by law or regulation;

(e) The waiver by either party of a breach or a default of any provision under these Terms by the other party shall not be construed as a waiver of any succeeding breach of the same or any other provision, nor shall any delay or omission on the part of either party to exercise or avail itself of any right, power or privilege that it has, or may have hereunder, operate as a waiver of any right, power or privilege by such party.

Governing Law:

The validity of these terms and the rights, obligations, and relations of the parties under these terms shall be governed by and construed in accordance with the Indian laws without regard to conflicts of law principles.

Jurisdiction:

You expressly agree that exclusive jurisdiction for any dispute with the Service or relating to your use of it, resides in the courts of the Bhopal Jurisdiction and you further agree and expressly consent to the exercise of personal jurisdiction in the courts of the Bhopal Jurisdiction located in Bhopal, MP, India in connection with any such dispute including any claim involving Service. You further agree that you and Service will not commence against the other a class action, class arbitration, or other representative action or proceeding.
